1. AGREEMENT TO TERMS

These Terms and Conditions constitute a legally binding agreement between the Client (“you”) and Genysis OÜ (“Genysis,” “we,” or “us”) regarding your access to and use of www.genysis.io (the “Site”) and the services provided therein (the “Services”). By accessing the Site or using our Services, you agree to be bound by these Terms. We may update these Terms from time to time, and continued use of our Site after changes are posted constitutes acceptance.

2. CLIENT ACCESS AND CLIENT DATA

You do not need to register for an account to access Genysis services. We do not host client accounts. However, in delivering services (e.g. automation, lead reactivation), we may process your business data. All data remains your property. We do not share or resell your data and use it solely for providing services.

3. GENYSIS’S INTELLECTUAL PROPERTY RIGHTS

Genysis retains all rights to the software, templates, and methods used in delivering services. Clients may not reuse, reproduce, resell, or reverse engineer any proprietary workflows, even if they have received results from those workflows.

4. CLIENT REPRESENTATIONS

By using our Services, you confirm that:

• You are legally eligible to enter into contracts.

• Any data you provide (e.g., lead lists) has been lawfully obtained and used with consent.

• You won’t use our services for unlawful or unethical activity.

• You understand the service includes outreach (via SMS, email, or chatbot) and you’re responsible for lawful use of your data.

5. CLIENT REGISTRATION

Our site and services do not require user registration or login. All client collaboration occurs through external platforms such as Calendly, Zoom, and email.

6. CONFIDENTIALITY

We treat all client data as confidential. Information shared with Genysis will not be disclosed outside our team. This includes business processes, documents, contact data, and internal strategies. We use commercially reasonable measures to protect all client information.

7. CANCELLATION

Clients may cancel monthly subscriptions at any time. Performance-based clients are only charged after results have been delivered. No refunds are offered for services already rendered.

8. PROHIBITED ACTIVITIES

You agree not to:

• Use Genysis services to spam or harass contacts.

• Upload harmful code or materials.

• Use our services for illegal or misleading purposes.

• Interfere with our operations, workflows, or systems. We reserve the right to cease service if abuse or complaints arise.

9. WARRANTIES AND DISCLAIMER

Our services are provided “as is.” We make no guarantees of specific results. While we do everything in our power to deliver measurable outcomes, we do not offer performance warranties. You use the services at your own discretion.

10. SUBMISSIONS

Any ideas, suggestions, or feedback provided to Genysis become our property. We may use them to improve or expand our services without further notice or compensation.

11. PRIVACY POLICY

Please refer to our Privacy Policy for full details. By using our services, you consent to our data practices. We comply with GDPR and data protection standards applicable in the EU.

12. TERMINATION BY GENYSIS

We reserve the right to refuse service, terminate communication, or cease outreach efforts if there is a violation of these Terms or in the event of abusive or non-cooperative behavior.

13. MODIFICATIONS AND INTERRUPTIONS

We may modify the site, services, or pricing at any time without prior notice. We are not liable for service interruptions or delays caused by platform updates, third-party tools, or external providers.

14. GOVERNING LAW

These Terms are governed by the laws of Estonia. Any disputes will be resolved under Estonian jurisdiction.

15. DISPUTE RESOLUTION

We aim to resolve concerns amicably and informally. If this fails, the matter may be resolved through legal means in the courts of Estonia. We do not participate in arbitration.

16. CORRECTIONS

We reserve the right to correct errors, modify service descriptions, or adjust pricing without prior notice.

17. LIMITATIONS OF LIABILITY

Genysis is not liable for indirect or consequential damages, including loss of revenue or opportunity. Liability is limited to the amount paid by the client during the three months preceding the claim.

18. INDEMNIFICATION

You agree to indemnify and hold harmless Genysis from claims arising out of your misuse of our services, breach of these Terms, or violation of third-party rights.

19. DATA SECURITY / RESTRICTIONS ON USE

We implement strong security measures, including redundant backups and platform security. We do not allow clients to use our services for activities that breach data protection laws.

20. DATA BACKUPS

We maintain multiple secure copies of client documents and systems. However, clients remain responsible for storing their original data and project files.

21. ELECTRONIC COMMUNICATIONS AND SIGNATURES

By using our website or contacting us electronically, you agree to receive communications in digital form and accept digital signatures and agreements as binding.

22. FORCE MAJEURE

We are not liable for service interruptions due to unforeseen events such as natural disasters, internet outages, third-party disruptions, or governmental restrictions.

23. MISCELLANEOUS

These Terms constitute the entire agreement between you and Genysis. If any provision is deemed unenforceable, the remainder remains in effect. No partnership or agency is created through use of our services.
